These Terms of Service govern the use of services provided by the company. By accessing or using the services, users agree to be bound by these terms. The company reserves the right to restrict, suspend, or terminate service access for violations of these terms or for other reasons, including non-payment or misuse.
Acceptance of Terms
Use of the company's services constitutes acceptance of these terms and any additional terms that are communicated at the time of service engagement. Individuals entering into contracts on behalf of an organization represent that they have the authority to bind the organization to these terms.
Use of Services
Services are provided subject to the scope, schedule, and deliverables defined in project agreements. Users agree not to use the services for unlawful activities, to interfere with service delivery, or to attempt unauthorized access to systems. Reasonable use policies may be applied to prevent actions that create disproportionate demand on infrastructure or resources.
Intellectual Property
Unless otherwise specified in a written agreement, intellectual property created during the engagement is owned by the company and is licensed to the client for agreed-upon uses upon payment in full. Pre-existing materials and third-party components retain their original ownership. Clients are granted a non-exclusive, non-transferable license to use deliverables for internal business purposes unless a different arrangement is documented in writing.
Limitation of Liability
To the maximum extent permitted by law, the company's liability for any claim arising out of or relating to the services is limited to direct damages equal to the fees paid for the specific services giving rise to the claim during the twelve months preceding the event. The company is not liable for indirect, consequential, special, or punitive damages, nor for loss of profits, data, or business interruption, even if advised of the possibility of such damages.
Termination
Either party may terminate an engagement in accordance with the terms of the applicable project agreement. In the absence of specific contract terms, the company may terminate services with reasonable notice. Upon termination, outstanding fees for work completed up to the termination date will be due. The company reserves the right to retain copies of work performed for legal and archival purposes.
Changes to Terms
The company may modify these Terms of Service from time to time. Updated terms will be posted on the website and become effective as specified at the time of posting. Continued use of services after such changes constitutes acceptance of the revised terms. For contractual arrangements with specific terms, any material modifications will be communicated directly to the contracting party as appropriate.
